1. Acceptance of Terms

By creating an account, accessing, or using ReelMatic ("the Service"), you agree to comply with and be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, please do not use our Service.

We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Service Description

ReelMatic is a platform that provides:

• AI-powered video generation using third-party models (Veo-3, Dream Machine, Pika 2, Wan Video)
• Video enhancement tools (upscaling, color grading, stabilization, auto-captions)
• Access to a marketplace of professional video editors
• Credit-based billing system for pay-as-you-go usage

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. User Accounts

3.1 Account Creation

To use ReelMatic, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use our Service. By using ReelMatic, you represent and warrant that you meet these age requirements.

3.3 Account Security

You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Credits and Billing

4.1 Credit System

ReelMatic operates on a credit-based system where 1 credit = $0.01 USD. Credits are used to pay for:

• AI video generation (100-500 credits per video)
• Video enhancements (20-200 credits per operation)
• Human editor services (600-1000 credits per edited minute)

4.2 Credit Purchases

Credits can be purchased in packs through our payment processor (Stripe). All purchases are final unless otherwise stated in our Refund Policy.

4.3 Credit Expiration

Purchased credits do not expire. However, we reserve the right to implement expiration policies with 90 days notice to users.

4.4 Pricing Changes

We reserve the right to modify credit costs for services with 30 days notice. Existing credit balances will not be affected by price changes.

5. Acceptable Use

5.1 Prohibited Content

You agree not to generate, upload, or request content that:

• Is illegal, harmful, threatening, abusive, harassing, or defamatory
• Violates any intellectual property rights
• Contains nudity, pornography, or sexually explicit material
• Promotes violence, discrimination, or hatred
• Contains malware, viruses, or harmful code
• Impersonates any person or entity
• Violates any applicable laws or regulations

5.2 Content Moderation

We reserve the right to review, moderate, and remove any content that violates these Terms. Repeated violations may result in account suspension or termination.

5.3 AI Model Usage

You agree to comply with the terms of service and usage policies of the underlying AI models (Veo-3, Dream Machine, Pika 2, Wan Video). We are not responsible for content generated by these third-party models.

6. Intellectual Property

6.1 User Content Ownership

You retain ownership of all content you create using ReelMatic. By using our Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, and process your content solely for the purpose of providing our services.

6.2 AI-Generated Content

Content generated by AI models may have special licensing considerations. You are responsible for understanding and complying with the terms of use for AI-generated content. We do not guarantee that AI-generated content is free from intellectual property claims.

6.3 Platform Intellectual Property

All rights, title, and interest in and to the ReelMatic platform, including our name, logo, technology, and intellectual property, are owned by REELMATIC STUDIOS LTD. You may not use our intellectual property without prior written permission.

7. Editor Services

7.1 Editor Marketplace

ReelMatic connects users with professional video editors. We act as a platform and are not responsible for the quality or timeliness of editor deliverables.

7.2 Editor Agreements

By submitting work to an editor, you enter into a separate agreement governed by our Editor Terms. We facilitate payment through credit escrow but are not party to the editing agreement.

7.3 Dispute Resolution

In case of disputes between users and editors, we may mediate but are not obligated to provide refunds or compensation. See our Refund Policy for more information.

8. Disclaimers and Limitations of Liability

8.1 Service Availability

We strive to provide reliable service but do not guarantee 100% uptime. The Service may be temporarily unavailable due to maintenance, updates, or technical issues.

8.2 AI Output Quality

AI-generated videos may not meet your expectations. We do not guarantee specific quality, accuracy, or suitability of AI outputs. You are responsible for reviewing and approving all generated content before use.

8.3 Limitation of Liability

To the fullest extent permitted by law, REELMATIC STUDIOS LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising from your use of the Service.

8.4 Maximum Liability

Our total liability to you for any claims arising from your use of ReelMatic shall not exceed the amount you paid to us in the 12 months preceding the claim.

9. Termination

9.1 Termination by User

You may terminate your account at any time through your account settings. Unused credits may be refunded according to our Refund Policy.

9.2 Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion.

9.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We may delete your content and account data, though we may retain certain information as required by law.

10. Indemnification

You agree to indemnify and hold harmless REELMATIC STUDIOS LTD, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content uploaded or generated through the Service

11. Governing Law and Dispute Resolution
